The rules of the marketplace.

1. Introduction

These Terms of Service ("Terms") govern your use of the TradeSoft mobile application ("App") and any related services (collectively, "the Service") operated by TradeSoft ("we", "us", or "our").

By creating an account or using the App, you agree to be bound by these Terms. If you do not agree, do not use the Service.

We reserve the right to update these Terms at any time. Continued use of the App after changes are published constitutes acceptance of the updated Terms. We will notify users of material changes via in-app notification.

2. Who May Use TradeSoft

2.1 Eligibility

You must be at least 18 years of age to create an account and use TradeSoft. By registering, you confirm that you meet this requirement.

2.2 Geographic Availability

TradeSoft is currently available to users located in New Zealand. We may expand availability to other regions in the future. We reserve the right to restrict access based on your location at any time.

2.3 Account Responsibility

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately at legal@tradesoft.app if you suspect unauthorised access to your account.

3. The TradeSoft Marketplace

3.1 Platform Role

TradeSoft is a platform that enables users to list, discover, and facilitate the exchange of airsoft equipment and related goods. We are not a party to any transaction between buyers and sellers. We do not take possession of, inspect, or guarantee any items listed on the platform.

3.2 User Responsibility for Transactions

All transactions are conducted directly between users. You are solely responsible for:

  • The accuracy and completeness of your listings
  • The condition of any items you sell or trade
  • Arranging and completing payment and delivery
  • Resolving any disputes with the other party directly

TradeSoft accepts no liability for the outcome of any transaction between users.

3.3 No Dispute Resolution

TradeSoft does not mediate or arbitrate disputes between users. We strongly encourage users to communicate clearly before committing to a transaction and to use good judgement when dealing with other community members.

4. Listings & Content

4.1 Your Listings

When you post a listing, you confirm that:

  • You own the item or have the right to sell or trade it
  • All information provided is accurate, complete, and not misleading
  • The item complies with all applicable New Zealand laws and regulations
  • You have not misrepresented the condition, value, or nature of the item

4.2 Prohibited Items & Content

You must not list, offer, or promote:

  • Any item whose sale, possession, or transfer is prohibited under New Zealand law
  • Stolen or fraudulently obtained goods
  • Items you do not own or have no right to sell
  • Content that is defamatory, harassing, threatening, or abusive toward any person
  • Content that infringes the intellectual property rights of any third party
  • Spam, misleading listings, or duplicate listings designed to manipulate the feed

You acknowledge the disclaimer presented at the start of each listing creation session, which places responsibility for legal compliance on you as the seller.

4.3 Content Licence

By posting content on TradeSoft (including photos, descriptions, and profile information), you grant us a non-exclusive, worldwide, royalty-free licence to display, reproduce, and distribute that content within the App for the purposes of operating the Service. This licence ends when you delete the content or your account, subject to any backups or legal retention obligations.

4.4 Listing Duration & Lifecycle

Listings are active for 30 days from the date of creation. Upon expiry, listings are removed from public view. You may relist an expired item, which returns it to active status but does not automatically bump it in the feed. Listing management features (bump credits, featured ads) are subject to separate purchase terms under Section 7.

5. User Conduct

You agree not to:

  • Create multiple accounts to circumvent a ban or suspension
  • Impersonate any person or entity, or misrepresent your affiliation with any person or entity
  • Use the App to harass, threaten, or intimidate other users
  • Attempt to manipulate feedback, ratings, or the reputation system
  • Use automated tools, bots, or scrapers to access or interact with the App
  • Attempt to gain unauthorised access to any part of the Service or its infrastructure
  • Use the App for any unlawful purpose

6. Messaging & Communications

6.1 Initiation of Contact

Private messaging between users may only be initiated in connection with a specific listing. Unsolicited direct messages outside of a listing context are not permitted.

6.2 Public Q&A

Listing Q&A threads are visible to all users. You are responsible for the content you post in public Q&A threads. Do not share personal information (phone numbers, home addresses, payment details) in public Q&A.

6.3 Communication Standards

All communications through TradeSoft must comply with these Terms. We reserve the right to remove messages that violate these Terms, though we are not obligated to monitor all communications.

7. Paid Features

7.1 Featured Listings

Featured listings are available for purchase at the time of listing creation. The current price is NZD $9.99 per listing. A featured listing is active for the duration of that listing (up to 30 days). Featured status carries over to the first relist of a listing, after which it expires and must be repurchased.

7.2 Bump Credits

Bump credits are available for purchase in packs. Credits are non-expiring and may be applied to any active listing at any time. Credits have no cash value and are non-refundable once purchased, except where required by applicable law.

7.3 Billing

In-app purchases are processed through the Apple App Store or Google Play Store, and are subject to their respective billing terms and refund policies. TradeSoft uses RevenueCat to manage purchase verification. We do not store your payment details.

7.4 Refunds

Refunds for in-app purchases are governed by the policies of the platform through which the purchase was made (Apple or Google). We do not issue refunds directly, except where required by applicable consumer law.

8. Feedback & Reputation

8.1 Feedback System

After a trade is completed, both parties may leave feedback (a rating from 1–5 stars and an optional comment). Feedback is intended to reflect honest accounts of transaction experiences.

8.2 Prohibited Feedback Conduct

You must not:

  • Leave false, misleading, or retaliatory feedback
  • Attempt to coerce another user into leaving positive feedback
  • Use the feedback system to harass or damage another user's reputation

8.3 Replies

A user who receives feedback may leave a single public reply. Replies are permanent and visible on their profile. The same conduct standards apply to replies as to original feedback.

8.4 Feedback Removal

We reserve the right to remove feedback that we reasonably determine violates these Terms, but we are under no obligation to do so.

9. Accounts — Suspension & Termination

We reserve the right to suspend or permanently terminate your account at any time, for any reason, at our sole discretion, including but not limited to violations of these Terms. No prior notice or warning is required.

Upon termination:

  • Your listings will be removed from public view
  • Your access to the App and your account data will be revoked
  • Any unused bump credits will be forfeited without refund, except where required by law

If you believe your account has been terminated in error, you may contact us at legal@tradesoft.app. We will review the matter at our discretion. There is no formal appeals process and no guarantee of reinstatement.

10. Intellectual Property

10.1 Our Property

The TradeSoft name, logo, app design, and all original content and features of the Service are owned by TradeSoft and are protected by applicable intellectual property law. You may not copy, reproduce, modify, or distribute any part of the Service without our express written permission.

10.2 Your Content

You retain ownership of content you post to TradeSoft (photos, descriptions, etc.), subject to the licence granted in Section 4.3.

11. Privacy

Your use of TradeSoft is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the App, you consent to the collection and use of your information as described in the Privacy Policy.

12. Disclaimers & Limitation of Liability

12.1 Service Provided "As Is"

The Service is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

12.2 No Guarantee of Availability

We do not guarantee that the App will be available at all times or free from errors, interruptions, or data loss.

12.3 Limitation of Liability

To the fullest extent permitted by applicable law, TradeSoft and its operator shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, goodwill, or other intangible losses arising from:

  • Your use of or inability to use the Service
  • Any transaction or interaction with another user
  • Any content posted by users on the platform
  • Unauthorised access to or alteration of your account

Where liability cannot be excluded by law (including under the New Zealand Consumer Guarantees Act 1993 or the Fair Trading Act 1986), our liability is limited to the maximum extent permitted.

12.4 Consumer Rights (New Zealand)

Nothing in these Terms is intended to limit any rights you may have under New Zealand consumer law, including the Consumer Guarantees Act 1993 and the Fair Trading Act 1986, to the extent those rights cannot be excluded or limited by contract.

13. Indemnification

You agree to indemnify and hold harmless TradeSoft and its operator from and against any claims, damages, losses, costs, and expenses (including reasonable legal fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your listing or sale of any item
  • Any dispute between you and another user

14. Governing Law

These Terms are governed by and construed in accordance with the laws of New Zealand. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of New Zealand.
